{"id":16925,"date":"2017-09-18T01:18:28","date_gmt":"2017-09-18T01:18:28","guid":{"rendered":"https:\/\/one.sightlinemg.com\/c4isrnet\/uncategorized\/2017\/09\/18\/northrop-grumman-approaching-deal-for-75b-purchase-of-orbital-atk\/"},"modified":"2026-08-07T22:01:53","modified_gmt":"2026-08-07T22:01:53","slug":"northrop-grumman-approaching-deal-for-75b-purchase-of-orbital-atk","status":"publish","type":"post","link":"https:\/\/one.sightlinemg.com\/c4isrnet\/home\/2017\/09\/18\/northrop-grumman-approaching-deal-for-75b-purchase-of-orbital-atk\/","title":{"rendered":"Northrop Grumman cements deal for $9.2B purchase of Orbital ATK"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">WASHINGTON \u2014 Northrop Grumman has reached a &nbsp;deal to purchase Orbital ATK for more than $9.2 billion, a move that will greatly expand Northrop\u2019s portfolio in space and missiles.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The companies announced the transaction Monday morning, a day after the Wall Street Journal revealed the oncoming deal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">After absorbing Orbital ATK into a fourth business unit, Northrop expects sales to grow from its 2016 total of about $25 billion to $30 billion.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cThe acquisition of Orbital ATK is an exciting strategic step as we continue to invest for profitable growth,\u201d Wes Bush, Northrop\u2018s president and CEO, stated in a news release.&nbsp;\u201cThrough our combination, customers will benefit from expanded capabilities, accelerated innovation and greater competition in critical global security domains.\u201d<br><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">David Thompson, president and CEO of Orbital ATK, added that,&nbsp;\u201cthe unique alignment in culture and mission offered by this transaction will allow us to maintain strong operational performance on existing programs while we pursue new opportunities that require the enhanced technical and financial resources of a larger organization.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Northrop\u2019s acquisition of Orbital ATK would provide some obvious benefits to the company, said Byron Callan, a director at Capital Alpha Partners. Orbital has long had a niche in electro-optical countermeasures, which could help expand Northrop\u2019s expertise in electronic warfare. Northrop has also struggled in the missile market, a thriving business segment for Orbital.<\/p>\n\n\n\t<aside class=\"smg-interstitial-link wp-block-smg-interstitial-link\">\n\t\t<a href=\"https:\/\/one.sightlinemg.com\/defensenews\/industry\/2017\/08\/29\/united-technologies-acquisition-of-rockwell-collins-could-set-off-new-ma-wave\/\" class=\"smg-interstitial-link__inner\">\n\t\t\t\t\t\t\t<div class=\"smg-interstitial-link__media\">\n\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"193\" src=\"https:\/\/one.sightlinemg.com\/wp-content\/uploads\/2026\/08\/AP_110817042499-1.jpg.jpg?w=300\" class=\"smg-interstitial-link__image wp-post-image\" alt=\"\" \/>\t\t\t\t<\/div>\n\t\t\t\t\t\t<div class=\"smg-interstitial-link__content\">\n\t\t\t\t<span class=\"smg-interstitial-link__kicker\">Related<\/span>\n\t\t\t\t<h3 class=\"smg-interstitial-link__title\">United Technologies&#8217; acquisition of Rockwell Collins could set off new M&amp;A wave<\/h3>\n\t\t\t\t\t\t\t\t\t<p class=\"smg-interstitial-link__excerpt\">United Technologies Corp. is reportedly nearing a more than $20 billion deal to buy Rockwell Collins, a merger of two major defense firms that experts said would make UTC an even more dominant supplier in the aerospace business.<\/p>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/a>\n\t<\/aside>\n\t\n\n\n<p class=\"wp-block-paragraph\">Other parts of the company make less sense for Northrop to pick up, like its ammunition portfolio. It\u2019s possible that Northrop could sell that part of the business off, Callan said, but there are no signs right now that Northrop will do so.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Callan said that Northrop\u2019s decision to purchase Orbital ATK was&nbsp;\u201ckind of a surprise on both sides.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cOrbital ATK was one of these companies that seemed very comfortable with the idea of investing to grow,\u201d he said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Northrop Grumman was \u201cthe opposite of that,\u201d with more of a focus of returning cash to shareholders and a conservative research and development portfolio.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cMaybe Northrop had underinvested in R&amp;D and they\u2019re going to pay a premium for that now \u2014 that they really needed to get some more growth back in their portfolio, and this is the way they hope to do it,\u201d he said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If both companies reach a deal, it would be the second announcement of a merger of two major defense firms in a matter of weeks. On Sept. 4, United Technologies Corp. announced that it intends to purchase Rockwell Collins for $30 billion.<\/p>\n\n\n\t<aside class=\"smg-interstitial-link wp-block-smg-interstitial-link\">\n\t\t<a href=\"https:\/\/one.sightlinemg.com\/defensenews\/industry\/2017\/09\/05\/united-technologies-cements-30b-deal-to-buy-rockwell-collins\/\" class=\"smg-interstitial-link__inner\">\n\t\t\t\t\t\t\t<div class=\"smg-interstitial-link__media\">\n\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"193\" src=\"https:\/\/one.sightlinemg.com\/wp-content\/uploads\/2026\/08\/AP_110817042499.jpg.jpg?w=300\" class=\"smg-interstitial-link__image wp-post-image\" alt=\"\" \/>\t\t\t\t<\/div>\n\t\t\t\t\t\t<div class=\"smg-interstitial-link__content\">\n\t\t\t\t<span class=\"smg-interstitial-link__kicker\">Related<\/span>\n\t\t\t\t<h3 class=\"smg-interstitial-link__title\">United Technologies cements $30B deal to buy Rockwell Collins<\/h3>\n\t\t\t\t\t\t\t\t\t<p class=\"smg-interstitial-link__excerpt\">The deal could turn UTC into a massive aerospace technology conglomerate capable of building almost any major subsystem on an aircraft.<\/p>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/a>\n\t<\/aside>\n\t\n\n\n<p class=\"wp-block-paragraph\">It\u2019s probable that Northrop had floated its plan to acquire Orbital past top Defense Department leaders, said Callan, who believes it\u2019s unlikely that the department raises serious concerns about the deal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, other big defense primes could pose a barrier to the sale moving forward, much as Boeing has rung alarm bells about the recently announced acquisition of Rockwell by United Technologies, he said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">One potential flash point is the Air Force\u2019s Ground Based Strategic Deterrent competition, or GBSD, which will replace the Minuteman III intercontinental ballistic missiles. Orbital ATK is one of two firms working on propulsion systems for the two prime contractors competing for the contract: Boeing and Northrop.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It\u2019s possible that Boeing could raise concerns about one of the key motor providers being owned by its direct competitor, said Callan.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cIf I were relying on Orbital ATK for motors for Ground Based Strategic Deterrent, I\u2019d want to make sure that it\u2019s highly firewalled from Northrop Grumman and their bid, if I were Boeing,\u201d he said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However there is precedent for a company to be involved in its competitors\u2019 proposals. For instance, on the JSTARS recap program, all three prime contractors \u2014 Boeing, Northrop and Lockheed \u2014 submitted proposals featuring radar from Raytheon and Northrop.<\/p>\n\n\n\n<p
