Elizabeth Warren, an outspoken critic of corporate consolidation, wrote Friday to the <a href=\"https:\/\/www.defensenews.com\/industry\/2022\/01\/26\/federal-trade-commission-alleges-lockheed-had-tried-to-limit-competition-before-aerojet-deal\/\" target=\"_blank\">Federal Trade Commission<\/a> to urge it to oppose <a href=\"https:\/\/www.defensenews.com\/industry\/2022\/12\/19\/l3harris-moves-to-acquire-aerojet-rocketdyne\/\" target=\"_blank\">L3Harris Technologies\u2019 $4.7 billion bid to buy Aerojet Rocketdyne<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cThis deal between Aerojet and L3Harris would reduce competition in the shrinking defense industry to a new low, and I encourage the FTC to oppose this dangerous transaction,\u201d Warren, D-Mass., <a href=\"https:\/\/s3.amazonaws.com\/static.militarytimes.com\/assets\/pdfs\/1674833632.pdf\" target=\"_blank\">wrote in a letter<\/a> to FTC Chair Lina Khan as well as Commissioners Kelly Slaughter and Alvaro Bedoya, who are Democrats.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Warren also urged the agency, which screens for potential antitrust violations, to unwind <a href=\"https:\/\/www.defensenews.com\/industry\/2018\/06\/06\/whats-next-for-northrop-grumman-and-orbital-atk\/\" target=\"_blank\">Northrop Grumman\u2019s 2018 purchase of Orbital ATK<\/a>, one of just two suppliers of solid rocket motors along with Aerojet Rocketdyne. Such a move would make the industry more competitive, Warren said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If allowing the Orbital ATK deal spurred other companies to consolidate, \u201cthe remedy is not to approve yet another acquisition that would reduce competition,\u201d Warren said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The FTC, in allowing Northrop Grumman\u2019s $7.8 billion acquisition of Orbital ATK, sought to address anticompetition concerns by requiring behavioral remedies. Since 2019, the FTC has been probing \u201ca potential issue\u201d with Northrop\u2019s compliance with those remedies, according to the company\u2019s filings.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Warren in her letter called on the FTC to discuss any findings and legal action under consideration.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The FTC last year <a href=\"https:\/\/www.defensenews.com\/industry\/2022\/01\/25\/lockheed-says-planned-aerojet-acquisition-faces-federal-antitrust-roadblock\/\" target=\"_blank\">sued to block<\/a> defense giant <a href=\"https:\/\/www.defensenews.com\/industry\/2022\/02\/13\/lockheed-martin-says-its-effort-to-acquire-aerojet-is-over\/\" target=\"_blank\">Lockheed Martin\u2019s effort to buy Aerojet<\/a> due to concerns it would hurt competition in the defense industry.<\/p>\n\n\n\t<aside class=\"smg-interstitial-link wp-block-smg-interstitial-link\">\n\t\t<a href=\"https:\/\/one.sightlinemg.com\/defensenews\/global\/2022\/02\/15\/pentagon-worried-about-mergers-especially-among-hypersonic-weapons-suppliers\/\" class=\"smg-interstitial-link__inner\">\n\t\t\t\t\t\t\t<div class=\"smg-interstitial-link__media\">\n\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"200\" src=\"https:\/\/one.sightlinemg.com\/wp-content\/uploads\/2026\/08\/7.jpg_d0ff03.jpg?w=300\" class=\"smg-interstitial-link__image wp-post-image\" alt=\"\" \/>\t\t\t\t<\/div>\n\t\t\t\t\t\t<div class=\"smg-interstitial-link__content\">\n\t\t\t\t<span class=\"smg-interstitial-link__kicker\">Related<\/span>\n\t\t\t\t<h3 class=\"smg-interstitial-link__title\">Pentagon worried about mergers, especially among hypersonic weapons suppliers<\/h3>\n\t\t\t\t\t\t\t\t\t<p class=\"smg-interstitial-link__excerpt\">The report from DoD\u2019s acquisition and sustainment office, which says broadly that consolidation poses a national security risk, marks the strongest U.S. government objection to merger and acquisition activity since the defense secretary in 2015 discouraged deals among the largest prime contractors.<\/p>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/a>\n\t<\/aside>\n\t\n\n\n<p class=\"wp-block-paragraph\">Warren, who vocally opposed that deal before it was scuttled, noted the FTC\u2019s opposition then was because the new entity would have had the incentive to raise costs for rival firms. The L3Harris-Aerojet combination, she said, \u201cwould present similar threats to competition and national security.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">She noted Lockheed, Raytheon, and Boeing are all dependent on products only Aerojet is able to produce. If L3Harris were to own Aerojet, it would be in a position to force other companies to buy its other products, she said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cThis lack of competition in solid rocket motors represents a national-security threat,\u201d she said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The letter pointed to broader consolidation within the defense industrial base, \u201cfrom a competitive market with over 50 firms to an oligopoly of five massive rivals,\u201d and quoted a 2022 Pentagon industrial base study\u2019s concern that insufficient competition will lead to shortfalls in capacity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Warren cast the evolution of L-3 Communications into L3Harris Technologies, which involved the combination of more than 30 companies over 20 years, as \u201cevidence of anticompetitive intent, and its acquisition of the last remaining independent U.S. supplier of missile propulsion systems must be viewed in that context.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cL3Harris\u2019s acquisition of Aerojet defines anticompetitive enhanced market power and would adversely affect customers, including reduced product quality, reduced product variety, reduced service, and diminished innovation,\u201d Warren wrote. \u201cIn this case, the \u2018customer\u2019 is the American people and the Department of Defense.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">L3Harris Chairman and CEO Christopher Kubasik has said the combined entity would be a neutral merchant-supplier of propulsion technology. On the company\u2019s quarterly earnings call Friday, he said the company has responded to the FTC\u2019s questions and that L3Harris executives had met with Pentagon officials to explain the proposed deal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cIt\u2019s just being transparent, being responsive and getting the data request in, in a timely manner, so the process can work. So we\u2019ll see how it plays out. But so far, everything is tracking,\u201d Kubasik said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Kubasik told investors buying Aerojet offers an entry into lucrative markets for space launch vehicles, missiles, missile defense and hypersonic weapons.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cThe other day, someone said hypersonics is the future, and the reality is hypersonics is now,\u201d Kubasik said. \u201cThis could be the crown jewel of the acquisition, and we believe there\u2019s significant growth opportunities that are well supported by the budget and the customers.\u201d<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Sen.
