Analysts were hesitant to say there would be any real benefit for Boeing\u2019s defense business, but it would widen the U.S. aerospace giant\u2019s portfolio in some unexpected ways.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The companies are allegedly discussing a deal that would put a premium on Embraer\u2019s $3.7 billion market value, according to the <a href=\"https:\/\/www.wsj.com\/articles\/boeing-held-takeover-talks-with-brazilian-aircraft-maker-embraer-1513874742\" title=\"\" class=\"\" target=\"_blank\">Wall Street Journal<\/a>, which broke the news Thursday. Citing sources familiar with the talks, WSJ said the matter had been put on hold as the companies await approval from the Brazilian government.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Boeing and Embraer have confirmed the two companies \u201care engaged in discussions regarding a potential combination, the basis of which remains under discussion,\u201d according to a statement made to reporters after the WSJ story broke.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cAny transaction would be subject to the approval of the Brazilian government and regulators, the two companies\u2019 boards and Embraer\u2019s shareholders,\u201d the companies said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It appears such approval may be hard won, if it comes at all. After being informed of the potential acquisition, Brazilian President Michel Temer said he would only be open to a deal that does not give Boeing full control of Embraer, according to the Brazilian newspaper <a href=\"http:\/\/m.folha.uol.com.br\/mercado\/2017\/12\/1945145-temer-da-aval-a-negociacoes-mas-descarta-venda-de-controle-da-embraer.shtml\" title=\"\" class=\"selected-link\" target=\"_blank\">Fohla de Sao Paolo<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A deal could benefit Embraer more than Boeing, as it would allow the Brazilian firm to harness the marketing power and global reach of the world\u2019s largest aerospace company, said Byron Callan, a defense analyst at Capital Alpha Partners. But it could have significant advantages for Boeing as well.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cIt would be a credible product line extension,\u201d he said. \u201cYou\u2019re not talking about big numbers from a financial standpoint, but from a strategic standpoint \u2026 it would certainly represent a product line extension that no one else would have right now.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Even if Temer changes his mind, Boeing may decide to walk away from the deal due to the reportedly high premium being put on Embraer\u2019s value, said Richard Aboulafia, an aerospace analyst at the Teal Group.<\/p>\n\n\n\t<aside class=\"smg-interstitial-link wp-block-smg-interstitial-link\">\n\t\t<a href=\"https:\/\/one.sightlinemg.com\/defensenews\/digital-show-dailies\/farnborough\/2016\/07\/14\/embraer-boeing-hope-kc-390-will-have-long-payout\/\" class=\"smg-interstitial-link__inner\">\n\t\t\t\t\t\t\t<div class=\"smg-interstitial-link__media\">\n\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"169\" src=\"https:\/\/one.sightlinemg.com\/wp-content\/uploads\/2026\/08\/636040809114069856-kc390-paratroopersjpg.jpg?w=300\" class=\"smg-interstitial-link__image wp-post-image\" alt=\"\" \/>\t\t\t\t<\/div>\n\t\t\t\t\t\t<div class=\"smg-interstitial-link__content\">\n\t\t\t\t<span class=\"smg-interstitial-link__kicker\">Related<\/span>\n\t\t\t\t<h3 class=\"smg-interstitial-link__title\">Embraer, Boeing Hope KC-390 Will Have Long Payout<\/h3>\n\t\t\t\t\t\t\t\t\t<p class=\"smg-interstitial-link__excerpt\">Embraer and Boeing plan to work together on the KC-390 for a long time.<\/p>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/a>\n\t<\/aside>\n\t\n\n\n<p class=\"wp-block-paragraph\">\u201cFrom the defense side, the most interesting aspect would be Boeing selling the KC-390 military transport aircraft both to the U.S. and abroad. That would be significant,\u201d Aboulafia said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Embraer has cemented Brazil as a launch customer for the KC-390 \u2014 a multirole twin-engine plane designed for missions such as aerial refueling, transporting troops and fire support \u2014 but the company has struggled to find a follow-on buyer. Boeing and Embraer reached an agreement in 2016 to jointly market the aircraft internationally, but the U.S. aerospace company has so far taken a backseat role.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cDoes Boeing take that airplane and maybe market more aggressively in the United States?\u201d Callan wondered. \u201cIf you think about the global reach of Boeing and what it might be able to do with that airplane, it could give more competition in the C-130J in the global market.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Getting Big Army or Air Force to sign onto a KC-390 contract would be a long shot, given the service\u2019s longstanding procurement of Lockheed Martin\u2019s C-130 Hercules, but it could break into the U.S. market through Special Operations Command, Aboulafia said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cThat would be a very nice endorsement,\u201d he said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The acquisition would also allow KC-390 customers to tap into Boeing\u2019s global sustainment enterprise, which could also be a selling point, he added.<\/p>\n\n\n\t<aside class=\"smg-interstitial-link wp-block-smg-interstitial-link\">\n\t\t<a href=\"https:\/\/one.sightlinemg.com\/defensenews\/digital-show-dailies\/paris-air-show\/2017\/06\/05\/embraer-expecting-first-international-kc-390-sale-in-2017\/\" class=\"smg-interstitial-link__inner\">\n\t\t\t\t\t\t\t<div class=\"smg-interstitial-link__media\">\n\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"200\" src=\"https:\/\/one.sightlinemg.com\/wp-content\/uploads\/2026\/08\/636029931765111763-gettyimages-519446586jpg.jpg?w=300\" class=\"smg-interstitial-link__image wp-post-image\" alt=\"\" \/>\t\t\t\t<\/div>\n\t\t\t\t\t\t<div class=\"smg-interstitial-link__content\">\n\t\t\t\t<span class=\"smg-interstitial-link__kicker\">Related<\/span>\n\t\t\t\t<h3 class=\"smg-interstitial-link__title\">Embraer expecting first international KC-390 sale in 2017<\/h3>\n\t\t\t\t\t\t\t\t\t<p class=\"smg-interstitial-link__excerpt\">An Embraer official said the KC-390 is closing in on cementing a contract with a foreign nation.<\/p>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/a>\n\t<\/aside>\n\t\n\n\n<p class=\"wp-block-paragraph\">However, Aboulafia and Callan were at odds on whether other Embraer military aircraft would prove equally promising.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cI think of the Brazilian defense market, which from Boeing\u2019s standpoint mattered a whole heck of a lot more when they were shopping for fighters,\u201d Aboulafia said. \u201cBut they rejected the Super Hornet and they went with the Gripen.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Embraer is currently standing up a final assembly line in Brazil where it will contribute to the manufacture of Swedish aerospace company Saab\u2019s Gripen E.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That and Embraer\u2019s collaboration with Saab on the Erieye \u2014 an airborne early warning and control system integrated aboard Embraer\u2019s E-99 and other business jets \u2014 could open the door to greater cooperation between Boeing and Saab, which have already teamed up on the U.S. Air Force\u2019s T-X training jet competition.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cYou can connect the dots,\u201d Callan said. \u201cIs there another deal that happens out of this where\u2014 I don\u2019t know if Boeing is going to own Saab \u2014 but do you make an investment in Saab and round this out? If you\u2019re building an advanced combat aircraft production line in Brazil with the Gripen E, where do you go with that?\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Meanwhile, Embraer\u2019s Super Tucano could be another big opportunity for the companies as the U.S. Air Force considers whether to buy a fleet of low-cost attack aircraft, called OA-X, Callan said.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Super Tucano is marketed as the A-29 in the United States, where it is sold by a Embraer-Sierra Nevada Corporation partnership, and the aircraft in August participated in a series of experiments at Holloman Air Force Base, New Mexico.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The A-29 is widely presumed to be the winner of any eventual OA-X competition, as the service has already chosen to buy it for Afghanistan and Lebanon.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Yet Aboulafia pointed out that sales of even a couple hundred aircraft would do little to impact Boeing\u2019s bottom line.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cI\u2019m hard-pressed to think of why Boeing would care,\u201d he said.<\/p>\n\n\n\t<aside class=\"smg-interstitial-link wp-block-smg-interstitial-link\">\n\t\t<a href=\"https:\/\/one.sightlinemg.com\/defensenews\/industry\/2017\/10\/05\/ma-wave-continues-as-boeing-announces-acquisition-of-aurora\/\" class=\"smg-interstitial-link__inner\">\n\t\t\t\t\t\t\t<div class=\"smg-interstitial-link__media\">\n\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"182\" src=\"https:\/\/one.sightlinemg.com\/wp-content\/uploads\/2026\/08\/635861999421191408-gettyimages-84516949jpg.jpg?w=300\" class=\"smg-interstitial-link__image wp-post-image\" alt=\"\" \/>\t\t\t\t<\/div>\n\t\t\t\t\t\t<div class=\"smg-interstitial-link__content\">\n\t\t\t\t<span class=\"smg-interstitial-link__kicker\">Related<\/span>\n\t\t\t\t<h3 class=\"smg-interstitial-link__title\">M&amp;A wave continues: Boeing announces acquisition of Aurora<\/h3>\n\t\t\t\t\t\t\t\t\t<p class=\"smg-interstitial-link__excerpt\">Aurora, which specializes in autonomy and unmanned aircraft, is a natural fit for Boeing, which will be able to profit off the smaller company\u2019s expertise in both its commercial and defense business.<\/p>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/a>\n\t<\/aside>\n\t\n\n\n<p class=\"wp-block-paragraph\">If the agreement goes through, it would be Boeing\u2019s second major acquisition in the span of a couple months. The company announced a deal to buy Aurora Flight Sciences in October.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An agreement to buy Embraer could also help Boeing counter its biggest rival in the
